Told in car park on Saturday that they were sacked by the shareholders (in the dinning area) when they found out no after match event had been organised.....last straw. New Chairman and Board coming soon

Really? I would have thought notice of a shareholders' meeting would first have to be given (21 days notice?) to convene such a meeting to sack any director(s). Surely they can't do it "instantly"?

Nope, you can terminate directors at any time, just needs the remaining board members to agree it and then do it.

If there is a financial involvement this can be sorted at the time or after the event.

But if the Board of Directors sacked these 2 directors, that must mean they sacked themselves, as there are only 3 directors.

And if it's down to a shareholders' vote, then ………………………..

"Removal by the shareholders
The shareholders must give 28 days’ notice of the meeting, and the director should be given the chance to put forward his or her case in writing, as well as attending the meeting."

Who is the controlling shareholder? If there is one then they make the call. As I understand it, there is a controlling shareholder.

Which articles of association are you reading?

Perhaps it was under the oft used phrase of 'mutual agreement'

Looking at the last confirmation statement on Companies House website, there are several shareholders and I thought the statutory notice period for a shareholders meeting was required irrespective of the number.

My initial thought was shareholders can't just instantly sack directors in this manner without convening a proper meeting notifying ALL shareholders.

Was such a shame to not have anything to go back to official. Kids would have loved to meet the players, us too. Quite a few getting off coaches at the Shay presumed there would be something on and when they wasn't they just headed into town or home instead. Such a waste of opportunity, players did their part on the day as did the fans, and to be let down by some individuals if it's the case is poor. Especially considering the rarity of the occasion.

FD are you thinking about an Annual General Meeting which is the shareholder meeting and allows questions to the board. This has to give 21/28 days notice of questions and agenda items.

As demonstrated board meetings can be held in a car park if needed, and as long as there is a quorum of attendees it can be a 1 item agenda i.e. terminating directors. Board meetings are an agreed method of running a business and are normally diarised throughout a year, but sometimes there is a need to hold a special one to discuss a specific item.

Having checked via google, I'm fairly certain in order to remove a director 28 days notice is required to pass an ordinary resolution (more than 50% of members). Michael Steele (per the last count) owned less than 50% so would need the support of another shareholder and even then the formalities have to be followed regarding the 28 days notice no matter how much of a ball ache and how few shareholders there may be.

I agree with you, Pellon Boy, about how meetings can be held ad hoc to discuss certain matters, but as mentioned above to sack a director a notice period is required involving the members.

That's how I see it, and to be honest I think a knee jerk sacking for not hosting an event (surely this would have been known about long ago anyway?) seemed strange.

But whatever and however these resignations came about, there is obviously seems to be some major change afoot seeing that 2 of the only 3 directors have gone at the same time.

I'm sure the club is issue a statement shortly!

You are right. However, they may have voluntary resigned following the 'car park' board meeting.

I would suggest however that it has moved pretty quickly should the 'sacking' have taken place yesterday. Companies House are quick to upload filed company updates but not usually that quick.

Looks like crossroads time yet again for the club .think my camels back has nearly gone off field rather than on field i might stress. And thereby lies a glimmer of hope for the future. Good luck to anyone left on board the ship or to preferably new people who may wish to sail her to new waters

OK, could be the possibility of being asked to resign and because they're not remunerated they just did the honourable thing.

Hopefully this might open the door for more visionary people to hop on board and get things moving. The fan base is stagnating at best which is such a shame given the passion and loyalty of "the few".

As I've said, the club needs to be much more adventurous and make game day more than just a rugby event. New fans won't be attracted paying 19 quid for just a 2nd tier rugby match, especially when there is so much more alternative better for value stuff to do, eg a burger and 7 pints in Wetherspoons! If it helps by giving away tickets to pubs / schools for the last 4 home matches then so be it.

Did not the original poster state that he was told in the car park that they had been sacked in the dining area?

Was it in the car park or the dining suite.

Did they get sacked or did they resign.

If the former who did the sacking?

Sounds like the rugby league version of cluedo.
